Terms of Service

1. Agreement

These Terms of Service ("Terms") constitute a binding agreement between you ("Distributor" or "you") and ABS Manufacturing Inc. ("ABS Manufacturing," "we," or "us"), 3015 Bellevue Avenue, Wilmington, Delaware 19802, governing your access to and use of the Best Stoneworks distributor ordering portal (the "Portal").

By registering for or using the Portal, you agree to these Terms in full. If you do not agree, you may not use the Portal.

2. Approved Distributor Access Only

The Portal is a private platform available exclusively to businesses that have been reviewed and approved by ABS Manufacturing as authorized distributors. Access is granted at our sole discretion. We reserve the right to deny, suspend, or revoke access at any time for any reason, including but not limited to violation of these Terms, non-payment, or termination of the distributor relationship.

You may not share your login credentials with any third party. You are responsible for all activity that occurs under your account.

3. Orders and Pricing

Prices displayed in the Portal are distributor pricing applicable to your approved account tier. Prices are subject to change without prior notice. All orders are subject to acceptance by ABS Manufacturing. We reserve the right to refuse or cancel any order, including after confirmation, due to pricing errors, product availability, or other circumstances.

Orders placed through the Portal are binding offers. Acceptance occurs when we confirm the order or ship the goods, whichever occurs first.

4. Payment

Payment is due at the time of order unless otherwise agreed in writing. We accept payment by credit card through Stripe, Inc. and by purchase order as authorized for eligible accounts. You represent that you are authorized to use any payment method submitted. ABS Manufacturing does not store full payment card details; all card data is handled by Stripe pursuant to their terms.

Cash payments may be recorded at pickup for eligible orders at the discretion of ABS Manufacturing staff.

5. Shipping and Risk of Loss

Shipping terms, carriers, and estimated lead times will be communicated at the time of order or in your distributor agreement. Risk of loss transfers to you upon tender of delivery to the carrier or upon pickup, whichever applies.

6. Returns and Refunds

All sales are final unless otherwise agreed in writing by ABS Manufacturing. Defective or incorrectly shipped products must be reported within five (5) business days of receipt. We will, at our option, replace the product or issue a credit. No returns will be accepted without prior written authorization from ABS Manufacturing.

7. Acceptable Use

You agree to use the Portal only for lawful purposes and solely in connection with your authorized distributor business. You may not:

• Attempt to gain unauthorized access to any part of the Portal or its underlying systems.
• Scrape, copy, or redistribute pricing, product data, or other Portal content without written consent.
• Use the Portal to place orders for resale to unauthorized parties outside your normal distribution territory.
• Introduce malware, viruses, or other harmful code.

8. Intellectual Property

All content on the Portal, including product images, descriptions, logos, and pricing, is the property of ABS Manufacturing Inc. or its licensors. No content may be reproduced, distributed, or used without our prior written permission, except as necessary to conduct your authorized distribution activities.

9. Confidentiality

Distributor pricing, product availability information, and any non-public information accessible through the Portal are confidential. You agree not to disclose such information to any third party, including unauthorized resellers or competitors, without our prior written consent.

10. Disclaimer of Warranties

The Portal is provided "as is" and "as available." ABS Manufacturing makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted access. We do not warrant that the Portal will be error-free or that any defects will be corrected.

11. Limitation of Liability

To the fullest extent permitted by law, ABS Manufacturing's total liability to you for any claim arising from or related to the Portal or these Terms shall not exceed the amount paid by you for the specific order giving rise to the claim in the thirty (30) days preceding the claim. In no event shall ABS Manufacturing be liable for indirect, incidental, special, consequential, or punitive damages.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Portal shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to personal jurisdiction in those courts.

13. Modifications

We may update these Terms at any time. We will notify you of material changes by email or through the Portal. Your continued use of the Portal after notice constitutes acceptance of the revised Terms.
